“Site” means the website www.gopurebeauty.com, including all subdomains and subparts, as well as our social media accounts on Facebook, Instagram, X,  YouTube, and Google, and other platforms and applications for mobile, tablet, and other smart devices and application programs.

“Terms” refers to the terms and conditions of these Terms of Use, along with our Privacy Policy.

“User” means any visitor to the Site, regardless of whether the visitor registers for the Site or purchases any services or products from the Site, and is referred to herein as “User” or “you.”

“User Content” refers to any photographs, comments, video clips, or other Content that Users, including you, may upload to the Site. These Terms and any action or proceeding relating thereto will be governed by the laws of the State of California.  If any provision or part-provision of these Terms is declared invalid, unlawful, void, or for any reason unenforceable, it will be deemed severable and will not affect the validity and enforceability of the remaining provisions of these Terms, which will be enforced to the maximum extent permissible.

Upon notice to you of any such termination, your right to use the Site will immediately cease.

You are responsible for all your User Content.  You represent and warrant that you own all of your User Content or you have all rights necessary to grant goPure Beauty the license rights in your User Content under these Terms and that your User Content complies with applicable laws and regulations.  You also represent and warrant that neither your User Content, nor your use and provision of your User Content to be made available through the Site, nor any use of your User Content by goPure Beauty on or through the Site, will infringe, misappropriate, or violate a third party’s intellectual property rights, rights of publicity or privacy, or result in the violation of any applicable law or regulation. 

You may request that we delete your User Content according to the terms of our Privacy Policy by calling us at 1-800-925-4232 or emailing us at support@gopurebeauty.com. Before we may fulfill a request to access or delete your information, we are required to verify your identity.  We will ask you to verify your name, address, email address, telephone number, and/or other information we have collected about you. However, we may retain your Personal Data for an additional period as is permitted or required under applicable laws.  Even if we delete your Personal Data, it may persist on backup or archival media for an additional period of time.

MEDICAL DISCLAIMER

The Site is solely an online store for cosmetic and personal care products. The Content, including statements, and other material made available on or through the Site relating to goPure Beauty’s products: (i) are not intended to diagnose, treat, cure, or prevent any medical condition or disease; and (ii) are not in any way intended as medical advice or as a substitute for medical treatment. If you place your order through TikTok or Amazon, you need to go through the original selling platform to request a refund by doing the following:

Refund Policy

Your refund will cover the value of the returned item(s) at the time of purchase plus sales tax (if applied), minus any discounts that were applied to your order. Your refund will be issued to your order's original payment method once your returned items have been received, processed, and restocked at our warehouse. We cannot issue a refund to any payment method besides the original payment method used to place the order.

Exchange Policy

If you choose an exchange for your returned item(s), your new exchange order will be processed and shipped once your returned item(s) is in transit back to us. If you are owed a partial refund due to a price difference in your exchange order, please refer to the Refund Policy above. If there is a difference left to pay for the item(s) in your new exchange order, you will be asked to complete payment for the price difference before submitting your return request. If your order was placed using Faster Shipping, it should arrive within 2-3 days from when it was placed.

ORDER AND PAYMENT INFORMATION

If you use the Site or other means to purchase a service or product, payment must be received by goPure Beauty prior to our acceptance of an order, unless otherwise agreed to by us in advance.  All of our products are subject to sales tax, which will be applied to your order total.  We may need to verify information you provide before we accept an order, and may cancel or limit an order any time after it has been placed.  If payment has already been made and your order is cancelled or limited, we will refund you any payment made for the product that will not be shipped due to cancellation or limitation of an order in the same tender as the original purchase.  We expressly condition acceptance of your order on your agreement to these Terms.

We will add applicable shipping and handling fees to your charges, as stated in your order.  We reserve the right to reject orders where the stated delivery address is outside the United States.  

GIFT CARDS TERMS AND CONDITIONS 

Gift Cards may be redeemed to purchase services and products from the Site up to the nominated value of the gift card by entering the 12-digit Gift Card ID number at checkout. 

Gift cards have no expiration date and no dormancy or service fees.  The value on the gift card is redeemable in whole for one Transaction or in part for multiple Transactions, at any time. There is no limit to the number of Gift Cards that may be applied to an order. If a purchase exceeds the amount of the gift card(s) used, the balance must be paid with a credit card or other available payment method. 

Gift cards have no monetary value other than in connection with the purchase of services or products on the Site. You can check the balance of your gift card by entering your Gift Card ID number in the appropriate field during checkout. You will not be able to use a Gift Card with a promotional code.  Gift cards may be linked to an account by registering the gift card number where prompted when logged into that account. 

Gift cards may be purchased online in any of the denominations made available on the Site. Promotional offers, coupons and discounts may not be used toward the purchase of gift cards.  Gift card purchases will not count towards the accumulation of points in the goPure Beauty the Program Loyalty Program (but Rewards members will earn points for redemption). 

We know you care about your gift recipients. To protect their privacy, we will not collect personally identifiable information about gift recipients.  Rather, we will send gift cards only to your email address, so that you may forward your gift card to them directly.

ALL PURCHASES OF GIFT CARDS ARE NON-REFUNDABLE AND NON-CANCELLABLE. 

Title and risk of loss for each gift card pass to the purchaser immediately upon purchase. We are not responsible if the gift card information is lost, stolen, or used without the applicable recipient's permission. If gift card information is lost or stolen, we may (in our sole discretion) issue a replacement for the balance shown in our records and may require certain verification information from the person requesting the replacement. We reserve the right, in addition to any other available remedies, to close a User’s account or require alternative forms of payment if a fraudulently obtained gift card is redeemed or sought to be redeemed by that User. 

Gift cards cannot be: (1) redeemed for cash or credit, unless required by law; (2) reloaded; (3) transferred to another digital gift card; or (4) resold.  Attempted resale is grounds for seizure and cancellation without compensation. Gift cards obtained through unauthorized channels will be considered void. 

Gift cards may be used as personal or business gifts, but may not be used in connection with any marketing, advertising, or other promotional activities (including, without limitation, via websites, Internet advertisements, email marketing, telemarketing, direct mail marketing, newspaper and magazine advertisements or radio, Internet and/or television broadcasts) unless you obtain our prior written approval in each instance. 

GOPURE BEAUTY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO GIFT CARDS INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IF A GIFT ID NUMBER IS NONFUNCTIONAL, YOUR SOLE REMEDY, AND OUR SOLE LIABILITY, SHALL BE TO REPLACE THE GIFT CARD WITH AN AMOUNT EQUAL TO THE AMOUNT REMAINING ON THE GIFT CARD. CERTAIN STATE/PROVINCIAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY BE INAPPLICABLE AND ADDITIONAL RIGHTS MAY APPLY.

INTERNATIONAL ORDERS 

We may, in our sole discretion, choose to accept orders for the purchase of services or products from Users residing outside the United States.  The acceptance of such orders and the sale of such services or products are conditioned on the following:

• We may transfer our rights and obligations under a contract to another organization, but this will not affect your rights or our obligations under these Terms of Sale. 
• You may only transfer your rights or your obligations under these Terms of Sale to another person if we agree in writing. 
• We contract with OpenBorder, Inc. together with its subsidiaries (referred to as “OpenBorder”) to sell and deliver our products to international consumers. 
• If your order is shipping to Australia, Canada, New Zealand, United Kingdom where our international shipping is supported by OpenBorder, additional terms and conditions here may apply to you in addition to any relevant terms and conditions imposed in this Terms of Sale.
• The United Nations Convention on the International Sale of Goods will not apply to any purchase or sale, and we expressly opt out of such application.

LOYALTY PROGRAM

If you enroll in goPure Rewards (the “Program”), you may earn points that you can redeem toward discounts on select purchases on the Site (“Rewards”). 

If you participate in the Program, you will have opportunities to earn points when you first sign up, create an account on the Site, purchase products on the Site, follow goPure Beauty on social media, sign up for emails or texts, refer a friend, write a review on the Site (once every 30 days within 30 days of purchase date), and celebrate your birthday. To sign up for the Program and learn how many points you may earn for each qualifying action, please visit https://gopurebeauty.com/pages/gopure-rewards, click “join now” and provide the information requested. 

The number of points you may earn for any specific action is subject to change in goPure Beauty’s sole discretion and varies according to your Benefit Tier (as that term is defined below). You will earn points for every dollar you spend on merchandise on the Site (shipping and tax excluded), among other opportunities.  When items are refunded, your points balance will be deducted accordingly. 

To redeem the Program points, you must log into your Site account. You cannot combine redemption of your points with other discounts or promotions. You cannot retroactively earn points on purchases made before the Program’s official launch date on July 21, 2023.  However, you have 30 days after a purchase to create an account and earn points from that purchase.

Your participation in the Program is subject to these Terms and any changes thereto. the Program is intended for personal use only. Commercial use is prohibited. We may, in our sole discretion, terminate your participation at any time without notice. If we do so, you will not be able to earn any further Rewards, but you will be able to use Rewards you have already earned until they expire.

By joining the Program, you consent to receive discounts, coupons, promotions, and other information about sales and offers to the email provided when you join.  If you no longer want to receive promotional emails from us, you can update your email preferences by clicking on the “unsubscribe” link in our emails to unsubscribe.  You may not be able to receive some of your Rewards if you unsubscribe. If you exercise any privacy right to delete your data, goPure Beauty will not be able to offer you membership in the Program.

You may find more information about our Rewards and tiers on the Rewards Details page, which is incorporated into these Terms.  We reserve the right to change the Program Rewards, including the earning model, point amounts, other rewards, and eligibility used to determine the Rewards, at any time in our sole discretion. All changes will apply to future orders, including for current participants. You will receive an email notifying you of any changes unless you “unsubscribed” from our promotional emails.

ANTI-DIVERSION

We are not responsible for any injury or damage that may result from the purchase of services or products through distributors or retailers who are not authorized distributors or retailers of our services or products.  We are not responsible for any injury or damage that may result from services or products purchased past their expiration date or those that have been altered or discontinued.

SUBSCRIPTION SERVICES TERMS

If you are purchasing our services or products and enrolling in one of our auto-renewal programs in which you have requested that we automatically provide services or products to you at regularly scheduled times (the “Subscription Service”), you will receive one or more of our products at the frequency you select.  We offer shipments every 1 or 2 months, for which you will be charged the advertised price automatically and indefinitely until you cancel.  You may cancel, skip, or pause your subscription at any time.  If you sign up for the Subscription Service on our website, the payment card or alternative payment method you provide will be automatically charged for the purchase price of the product(s), plus applicable tax, shipping, and any applicable duties or fees for international purchases. BY SUBSCRIBING TO THE SUBSCRIPTION SERVICE, YOU AGREE TO THESE TERMS, INCLUDING GOPURE BEAUTY’S FULL TERMS OF USE FOUND ON THIS PAGE, INCLUDING ARBITRATION AND CLASS ACTION WAIVER PROVISIONS THAT WAIVE YOUR RIGHT TO SUE IN COURT AND REQUIRE ALL DISPUTES TO BE DECIDED BY AN ARBITRATOR. 

PAYMENT AND SHIPPING

By participating in the Subscription Service, you agree that we may send you additional regularly scheduled shipments and charge you WITHOUT OBTAINING ANOTHER PAYMENT AUTHORIZATION FROM YOU.  These subsequent charges will be placed on the payment card or alternative payment method you provided when you enrolled in the Program or update thereafter.  You must provide current, complete, and accurate information for your shipping and billing accounts.  You are responsible for ensuring this information is correct and must promptly update all information to keep your account current, complete, and accurate (for example, to reflect changes in shipping or billing address, credit card number, credit card expiration date, and security code).  You must promptly notify goPure Beauty if your credit card or alternative payment method is cancelled or no longer valid (for example, due to theft or loss).  You agree that we will not be responsible in any manner for any overdraft charges, interest charges, late or other fees, or damages (including consequential damages) you may incur as a result of charges placed on your payment card or alternative payment method.  Shipments sent to the address of record are deemed complete upon shipment; we are not responsible for your failure to receive a shipment sent to your address of record in the event you have moved or for any other reason.  You can skip, pause, or cancel your subscription at any time in your online account or by contacting a customer service representative at support@gopurebeauty.com.

CHANGES TO YOUR ACCOUNT OR CANCELLATION

THE SUBSCRIPTION WILL REMAIN IN EFFECT UNTIL YOU CANCEL IT.  IF YOU WISH TO CANCEL YOUR PARTICIPATION IN THE SUBSCRIPTION SERVICE AND DISCONTINUE SHIPMENT OF FUTURE PRODUCTS, YOU MAY DO SO IN YOUR ACCOUNT OR BY CONTACTING CUSTOMER SERVICE AT SUPPORT@GOPUREBEAUTY.COM.

You may also skip a shipment or pause your subscription at any time by logging into your account and following the prompts.  If you skip a shipment or pause your subscription before your next recurring payment is charged, we will cancel the next scheduled delivery for your subscription and your payment method will not be charged for the skipped shipment or until your paused subscription resumes. If you skip a shipment or pause your subscription while an order is in process (i.e., your payment has been charged but you have not yet received your shipment), we will continue to process your order for that period and skip or begin the pause during the following subscription period. After your skipped shipment or your pause concludes, we will automatically re-start your subscription deliveries unless you skip the next shipment, pause, or cancel your subscription. Skipping a shipment or pausing your subscription does not cancel your subscription.

We may, in our sole discretion, terminate your participation in the Subscription Service at any time without notice to you.  We reserve the right to refuse or discontinue the automatic provision of products to any one at any time in our sole discretion.  We may, in our sole discretion, change the price of any product offered via subscription.  If there is a change to a product price, or any other material change to your subscription, we will notify you before the change is implemented and you will have an opportunity to cancel your subscription.  YOUR CONTINUED PARTICIPATION AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR SUBSCRIPTIONS.

DISCLAIMER OF WARRANTIES 

EXCEPT IN THE CASE OF PRODUCTS SOLD WITH A WARRANTY OR CONDITION, OUR SERVICES, PRODUCTS, AND CONTENT ARE PROVIDED “AS IS,” WITHOUT ANY WARRANTY OR CONDITION OF ANY KIND.  WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR USE, QUIET ENJOYMENT OR NON-INFRINGEMENT, AND ANY WARRANTIES OR CONDITIONS ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.  We make no warranty or condition that the services or products available on the Site will meet your requirements or be available on an uninterrupted, secure, or error-free basis.  YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER USERS OF THE SITE AND WITH OTHER PERSONS WITH WHOM YOU COMMUNICATE OR INTERACT AS A RESULT OF YOUR USE OF THE SITE, INCLUDING ANY SERVICES OR PRODUCTS PROVIDED TO YOU.

IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY WARRANTIES OR CONDITIONS RELATING TO OUR SERVICES, PRODUCTS, OR CONTENT, THESE TERMS, AND YOUR USE OF THE SITE, INCLUDING, BUT NOT LIMITED TO, FROM YOUR PURCHASE OF ANY SERVICES OR PRODUCTS VIA THE SITE, OR FROM THE USE OF OR INABILITY TO USE THE SITE, EXCEED THE AMOUNTS YOU HAVE PAID OR OWE FOR SERVICES OR PRODUCTS PURCHASED VIA THE SITE IN THE LAST TWELVE (12) MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO YOUR CLAIM OF LIABILITY.  THE LIMITATIONS OF LIABILITY AND DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GOPURE BEAUTY.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 

LIMITATIONS OF LIABILITY

TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT NEITHER GOPURE BEAUTY, OUR AFFILIATES, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING SERVICES, PRODUCTS, OR CONTENT ON THE SITE WILL BE LIABLE FOR ANY CLAIMS, LOSSES, OR DAMAGES (INCLUDING, WITHOUT LIMITATION, COMPENSATORY, INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES), HOWEVER CAUSED OR UNDER ANY THEORY OF LIABILITY - EVER OUR OWN ACTIVE OR PASSIVE NEGLIGENCE - ARISING IN CONNECTION WITH: (I) THE SITE; (II) THE USE OR INABILITY TO USE THE SITE; (III) THE USE OF OR RELIANCE ON ANY CONTENT OR INFORMATION DISPLAYED IN OR ON THE SITE; (IV) THE PURCHASE OR USE OF ANY SERVICES OR PRODUCTS THROUGH THE SITE OR OTHERWISE; (V) UNAUTHORIZED ACCESS TO OR ALTERATION OR LOSS OF YOUR TRANSMISSIONS OF DATA OR OTHER INFORMATION THAT IS SENT TO OR RECEIVED BY THE SITE; (VI) ERRORS, SYSTEM DOWN TIME, NETWORK OR SYSTEM OUTAGES, FILE CORRUPTION, OR SERVICE INTERRUPTIONS; OR (VII) OTHERWISE UNDER THESE TERMS, WHETHER OR NOT REASONABLY FORESEEABLE, EVEN IF WE OR OUR REPRESENTATIVES ARE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, CLAIMS, OR LOSSES, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.  THE NEGATION OF DAMAGES SET FORTH ABOVE IS A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GOPURE BEAUTY.  ACCESS TO THE SITE WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS.  

NOTWITHSTANDING ANYTHING TO THE CONTRARY HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE OF ACTION OR CLAIM WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU IN THE LAST TWELVE (12) MONTHS TO GOPURE BEAUTY FOR ANY SERVICES OR PRODUCTS SUPPLIED BY US THROUGH YOUR USE OF THE SITE OR OTHERWISE.

WE WILL NOT BE LIABLE IN ANY AMOUNT FOR FAILURE TO PERFORM ANY OBLIGATION UNDER THESE TERMS IF SUCH FAILURE IS CAUSED BY THE OCCURRENCE OF ANY UNFORESEEN CONTINGENCY BEYOND OUR REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, INTERNET OUTAGES, COMMUNICATIONS OUTAGES, FIRE, FLOOD, OR WAR.

The terms of this section survive any termination of these Terms.

TERMINATION

Notwithstanding anything to the contrary in these Terms, we reserve the right, without notice and in our sole discretion, for any reason or no reason, to terminate your ability to use the Site and to block and prevent future access to and use of the Site. You agree that we will not be liable for any termination of your use of or access to the Site.  

NO THIRD PARTY BENEFICIARIES

We and you are the only parties entitled to enforce these Terms.  These Terms do not and are not intended to confer any rights or remedies upon any person other than you and goPure Beauty.  Notwithstanding the foregoing, the parties agree that the payment card networks are third party beneficiaries of these Terms for purposes of enforcing provisions relating to payments, but that their consent or agreement is not necessary for any changes or modifications to these Terms.  You also agree that if we assign, transfer, or sub-contract any of our rights or obligations under these Terms to any third party in writing, such third party may enforce the Terms that are assigned, transferred, or sub-contracted.  

DISPUTE RESOLUTION 

AGREEMENT TO INDIVIDUAL ARBITRATION AND WAIVER OF JURY TRIAL

WE EACH AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO OUR SERVICES, PRODUCTS, THESE TERMS, INCLUDING OUR PRIVACY POLICY, OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF OR THE USE OF THE SERVICES OR CONTENT AVAILABLE ON OR THROUGH THE SITE (COLLECTIVELY, “DISPUTES”) WILL BE SETTLED BY CONFIDENTIAL BINDING INDIVIDUAL ARBITRATION, EXCEPT THAT each party retains the right to: (i) bring an individual action in small claims court; and (ii) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademark, trade secrets, patents, or other intellectual property rights (the action described in the foregoing clause (ii) an “IP Protection Action”).  The exclusive jurisdiction and venue of any IP Protection Action will be the state and federal courts located in Los Angeles, California and each of the parties hereto waives any objection to jurisdiction and venue in such courts.  YOUR AGREEMENT TO ARBITRATION MEANS THAT FOR ALL DISPUTES, EXCEPT FOR EXCLUDED CLAIMS, YOU ARE GIVING UP YOUR RIGHTS TO FILE A LAWSUIT IN COURT AND TO A JURY TRIAL. INSTEAD, YOU WILL HAVE A HEARING BEFORE A NEUTRAL ARBITRATOR. IN ARBITRATION, THERE IS NO JUDGE OR JURY AND THERE IS LESS DISCOVERY AND APPELLATE REVIEW THAN IN COURT.

WAIVER OF CLASS ACTIONS, CLASS ARBITRATIONS, AND MASS ARBITRATIONS

YOU ACKNOWLEDGE AND AGREE THAT BOTH YOU AND GOPURE BEAUTY MAY PROCEED IN ANY DISPUTE ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR CLASS ARBITRATION. By entering into these Terms of Use, independent of the agreement to arbitrate and waiver of class arbitration, you are giving up the ability to participate in or bring a class action in court for all claims, including but not limited to Excluded Claims. If this waiver of class actions and class arbitrations is deemed unenforceable, neither you nor goPure Beauty is entitled to arbitration; instead all Disputes will be resolved in court. 

Further, you and goPure Beauty waive the right to file any Dispute as part of a Mass Arbitration Filing. A “Mass Arbritration Filing” includes instances in which you or GoPure Beauty are represented by a law firm or collection of law firms that has filed 25 or more arbitration demands of a substantially similar nature against the other party within 180 days of the arbitration demand filed on your or GoPure Beauty’s behalf, and the law fim or collection of law firms seeks to simultaneously arbitrate all arbitration demands. An arbitrator may not arbitrate any Mass Arbitration Filing or consolidate more than one person’s claims, and may not otherwise preside over any form of any mass or representative proceeding. If this waiver of Mass Arbitration Filings is held unenforceable, then neither you nor GoPure Beauty is entitled to arbitration; instead all Disputes will be resolved in court, subject to the class action waiver agreement noted above. This “Dispute Resolution” section will survive termination of these Terms.

ARBITRATION RULES

The arbitration will be administered and governed by the Comprehensive or Expedited Arbitration Procedures of Judicial Arbitration and Mediation Services (JAMS), whichever is appropriate and in effect at the time the arbitration is initiated (the “JAMS Procedures”), which are available at http://www.jamsadr.com or by calling 1-800-352-5267.  

Except for Excluded Claims, an arbitrator, and not any federal, state, or local court or agency, will have exclusive authority to resolve all Disputes relating to GoPure Beauty’s services and products, as well as all Disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including, but not limited to, the arbitrability of any claim, as well as any claim that all or any part of these Terms is void or voidable.  Notwithstanding this broad delegation of authority to the JAMS arbitrator, a court may determine the limited question of whether a claim or cause of action is an IP Protection Action. New York law applies to any arbitration under these Terms, but we both agree that these Terms should be interpreted and enforced under the Federal Arbitration Act (9 U.S.C. §§ 1, et seq.) because they memorialize a transaction in interstate commerce. The sole jurisdiction and venue for any Excluded Claims or any other Dispute for which arbitration is denied for any reason will be an appropriate federal or state court with proper jurisdiction located in the County of Los Angeles in the State of California. 

DISPUTE NOTICE AND ARBITRATION PROCESS

Prior to initiating an arbitration proceeding, you must first send goPure Beauty a written statement setting forth your name, address, and telephone number, the facts giving rise to the dispute, and the relief requested (“Dispute Statement”).  The Dispute Statement to goPure Beauty must be emailed to support@gopurebeauty.com.  If we are unable to resolve your claim within thirty (30) days, then either party that desires to initiate an arbitration must provide the other party with a written Demand for Arbitration as specified in the JAMS Procedures.  

ARBITRATION LOCATION AND PROCEDURE

Unless the parties otherwise agree, the arbitration will be conducted in the county where you reside.  If your claim does not exceed $10,000, then: (i) the arbitration will be conducted solely on the basis of documents the parties submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary; and (ii) if there is a hearing, you may choose whether to participate in person or by telephone.  If your claim exceeds $10,000, your right to a hearing will be determined by the JAMS Procedures.  Subject to the JAMS Procedures, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of arbitration.

ARBITRATOR’S DECISION

The arbitrator’s decision will include the essential findings and conclusions of law upon which the arbitrator based the award.  Judgment on the arbitration may be entered in any court having competent jurisdiction thereof.  The arbitrator’s award of damages must be consistent with the terms of the “Disclaimer of Warranties,” and “Limitations of Liability” sections above as to the types and amounts of damages for which a party may be held liable. The arbitrator may award declaratory and injunctive relief only in favor of the claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim.  If you prevail in arbitration you will be entitled to an award of attorneys’ fees and expenses, to the extent provided under applicable law. goPure Beauty will not seek, and hereby waives all rights it may have under applicable law to recover, attorneys’ fees and expenses if it prevails in arbitration.

FEES

We will pay for all JAMS filing, administration, and arbitration fees for any arbitration commenced by goPure Beauty pursuant to the terms of this section. Otherwise, you and goPure Beauty will share in the arbitration fees according JAMS rules.

TIME LIMIT FOR RESOLVING DISPUTES

The parties agree that any cause of action either may have with respect to the Site or our services, products, and Content must be commenced by submitting a Demand for Arbitration within one (1) year after the day on which the Dispute arises, notwithstanding any statutes of limitations to the contrary.  Many states’ laws set statutes of limitations that are longer than one (1) year.  If you live in a state that has statutes of limitations that are longer than one (1) year, by agreeing to these Terms, you are acknowledging the waiver of any such rights you may have and agreeing to shorten the time you have to bring a claim.  This means that if you wait longer than one (1) year to serve and file any Demand for Arbitration under this section, your claim will be barred and you will lose some or all rights you may have to any recovery, including the right to recover damages, in connection with a Dispute.

The terms of this Dispute Resolution section survive any termination of these Terms.

RIGHT TO OPT-OUT OR REJECT FUTURE CHANGES TO DISPUTE RESOLUTION SECTION 

You may elect to opt-out (exclude yourself) from the final, binding, individual arbitration procedure or waiver of class and representative proceedings specified in this section by sending a written letter to goPure Beauty, at goPure Beauty, 543 Country Club Drive, Suite B123, Simi Valley, CA 93065, or by email to support@gopurebeauty.com, within thirty (30) days of your first visit to and use of the Site that specifies your: (i) name; (ii) mailing address; and (iii) request to be excluded from the final, binding, individual arbitration procedure or waiver of class and representative proceedings specified in this section.  In the event you opt-out consistent with the procedure set forth above, all other terms and conditions of these Terms will continue to apply.  If you do not so opt-out, then the terms of this “Dispute Resolution” section will apply. 

Notwithstanding the provisions of “Changes to Terms of Use” section above, if goPure Beauty changes this “Dispute Resolution” section after the date you first accepted these Terms (or accepted subsequent changes to the Terms), you may any such change by sending goPure Beauty written notice (including by email to support@gopurebeauty.com) within thirty (30) days of the date such change became effective, as indicated in the “Last Updated” date above or in the date of our email to you notifying you of such change.  By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and goPure Beauty in accordance with the provisions of this “Dispute Resolution” section as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms).

GENERAL TERMS

These Terms constitute the entire and exclusive understanding and agreement between goPure Beauty and you regarding the Site, Content, services, and products that may be provided on the Site, and these Terms supersede and replace any and all prior oral or written understandings or agreements between you and goPure Beauty regarding the Content, services, or products provided on the Site.  If, for any reason, any provision of these Terms is deemed to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.  

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent.  Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. We may freely assign or transfer these Terms without restriction.  Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

Any notices or other communications provided by goPure Beauty under these Terms, including those regarding modifications to these Terms, will be given:  (i) by goPure Beauty via email; or (ii) by posting to the Site.  For notices made by email, the date of receipt will be deemed the date we transmit such notice.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.  The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of goPure Beauty.  Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.

Nothing in these Terms will be construed as creating a joint venture, partnership, employment, or agency relationship between you and goPure Beauty, and you do not have any authority to create any obligation on our behalf.
